These Terms of Service (“Terms”) govern your use of Selected Credits (the “Service”), a software platform operated by Zenharmonic, a California S corporation (“we”, “us”, “our”), located at 2108 N Street, Suite N, Sacramento, CA 95816 (c/o Northwest Registered Agent, Inc.).
By creating an account, accessing, or using Selected Credits, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old to use Selected Credits. If you are between 13 and 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Users in the European Economic Area and United Kingdom must be at least 16. By using the Service you represent that you meet these requirements.
To use most features of the Service you must create an account with a valid email address and password. You are responsible for keeping your credentials secure and for any activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We are not liable for losses arising from compromised credentials you failed to protect.
Selected Credits provides tools for film, television, and game composers to manage industry leads, contacts, outreach, and public-facing portfolios. Specific features and limits depend on the plan you select. We may modify, add, remove, or replace features at any time. We will use reasonable efforts to notify you of material changes.
You retain ownership of any content you upload or create using Selected Credits, including audio files, video files, images, written portfolio content, and contact records (“Your Content”). You grant Zenharmonic a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (only for technical purposes such as format conversion or thumbnail generation), and display Your Content solely for the purpose of providing the Service to you and (where you choose to publish a portfolio or share a link) to the people you direct it to.
You represent that you have the rights necessary to upload Your Content, and that doing so does not infringe the rights of any third party. You are solely responsible for the legality of contact data you import about third parties (for example, lead and outreach records). Where applicable privacy laws require notice or consent for that data, you are responsible for providing it.

Selected Credits is currently in beta. During the beta period, all plans are free of charge regardless of which plan you selected at signup. When the beta concludes, we will give you reasonable advance notice and an opportunity to choose whether to continue on a paid plan, downgrade to the Free plan, or close your account.
Once paid plans are active, fees will be billed in advance on a recurring monthly basis through a third-party payment processor. You are responsible for keeping payment information current. Failed payments may result in downgrade to the Free plan or account suspension after a reasonable grace period. Fees are non-refundable except where required by applicable law.
You may close your account at any time. Upon account closure, your data enters a 30-day wind-down period during which it is recoverable on request. After 30 days, your data is permanently deleted from active systems. Backups containing your data may persist for up to an additional 90 days before being overwritten in normal backup rotation.
We may suspend or terminate your account if you materially breach these Terms. We will use reasonable efforts to notify you in advance unless immediate action is necessary to protect the Service, our users, or third parties.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE PRESERVED. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF IMPORTANT DATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENHARMONIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED US DOLLARS ($100). WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless Zenharmonic and its officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use of the Service in violation of these Terms, (b) Your Content, or (c) your violation of any third-party rights.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect and process personal information.
We may update these Terms from time to time. If we make material changes, we will notify registered users by email or in-product notice at least 30 days before they take effect. Continued use of the Service after the effective date of an update constitutes acceptance.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any dispute arising under these Terms, and you consent to personal jurisdiction in those courts.
